
Adam R. Sanders Principal
Professional Experience.
Mr. Sanders is a seasoned corporate and real estate attorney. Throughout his years of practice, he has accumulated a wide range of sophisticated legal skills in real estate matters, including: acquisitions and sales, lending and financing, leasing, portfolio structuring, co-op and condo board representation, and the New Market Tax Credit program. Mr. Sanders has also advised numerous clients regarding corporate matters, including: start-up structuring and finance; corporate governance; the negotiation and drafting of entertainment related transactions, such as literary option agreements; and the negotiation and drafting of general business contracts, ranging from employment to joint venture agreements.
Prior to starting Sanders Long LLP, Mr. Sanders was the principal of the Law Offices of Adam R. Sanders and, before that, he practiced in the Real Estate Department of Katten Muchin Rosenman LLP's New York office. Before law school, Mr. Sanders worked in production and development at SNL Studios, the feature film division of Saturday Night Live, and Independent Pictures in New York, where he was involved in all areas of studio and independent feature film production, development and finance. Preceding his employment with SNL Studios, Mr. Sanders worked at William Morris Endeavor (f/k/a the William Morris Agency) in New York, where he assisted in negotiating literary material and life rights contracts for feature film and television production.

Representative Matters.
- Corporate:
- General counsel for various startup entertainment, media, and technology companies, such as Terabit Media Corporation and Purple Eagle Entertainment, including the creation of the overall corporate structure of the companies in addition to the drafting and negotiation of venture capital fund raising and other general corporate documents;
- Representation of authors, screenwriters and playwrights in connection with the protection and licensing of their intellectual property rights;
- Representation of television and reality show personalities and producers in connection with the negotiation and drafting of their television and production agreements;
- Represent a music production and publishing company concerning its overall business strategy, structure and contractual arrangements; and
- Represent various musicians and rock & roll bands, such as Madison Rising, with their contractual matters, including the licensing and protection of their intellectual property rights.
- Real Estate:
- Represented a large insurance company in over $1 billion dollars of real estate financing for its mortgage lending portfolio group;
- Negotiated and closed over $200 million dollars in real estate financing for international banks and several real estate funds;
- Restructured a 26 property portfolio for a New York family real estate company;
- Negotiated and closed a multi-layered public and private construction financing transaction to build a brand new produce market in Philadelphia, Pennsylvania;
- Represented numerous commercial and residential acquisition and sale transactions in New York and the Northeast;
- Created and implemented a residential "green" modular homes joint venture and licensing program;
- Represented Southwest regional banks on local New York matters, including financing and re-financing of New York properties;
- Represented The Nature Conservancy - Adirondack Chapter on real estate matters on a pro bono basis;
- Advised a New York based real estate developer on the procedures and structure of the New Markets Tax credit program, in addition to the preparation of their allocation application; and
- Drafted an allocation application for a Nevada based real estate developer planning the largest and most technologically advanced healthcare community in the country.
